At Nexia Friedman, we realize that valuing a business in today’s complex and demanding environment requires more than basic accounting knowledge. Rules of thumb and estimates alone cannot be relied upon to determine the value of a business.

Our team of professionals listens to clients, asks questions and analyzes the information prior to providing an indication of value.

Our Chartered Business Valuators (CBVs) have handled numerous cases involving corporate commercial and personal litigations, as well as negotiations in mergers and acquisitions and corporate reorganizations for tax, estate and succession planning. Our reports and files reflect the level of complexity on each case. Our expertise covers the following

  • Valuation of shares pursuant to shareholders' disputes,
  • Valuation of shares pursuant to buyouts of shareholders, including oppression
    and appraisal remedies
  • Valuation of shares pursuant to divorce proceedings
  • Valuation of technologies pursuant to the requirements of a public stock exchange
  • Valuation pursuant to reorganizations and income tax requirements
  • Primary and secondary fairness opinions
  • Goodwill impairment testing
  • Valuation of options and trademarks
  • Valuation for succession planning and inter-generational transfers

Reporting of the conclusions reached by professionals varies in comfort levels based on the needs of the clients or their attorneys. These can vary from a Verbal ballpark value to a Calculation of value, Estimate of value and finally an Opinion of value. Although the valuation concept of Fair Market Value (FMV) is often used in tax and notional valuations, Fair Value would be considered appropriate in litigation involving appraisal remedies.

As CBVs, we understand the difficulties of determining a business’ value in the absence of an actual open market transaction. Our experience and extensive network through our Nexia membership provides us with a strong database of private transaction valuations.
